Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the publicly available websites, software, mobile applications, browser extensions, and other products and services (collectively, the “Services”) provided by Champagne Engineering, LLC (“Champagne Engineering,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Acceptance of These Terms

By accessing or using the Services, you represent that you have read, understood, and agree to be bound by these Terms.

2. Description of the Services

The Services may include websites, software, mobile applications, browser extensions, and related resources. Consulting engagements are governed by separate written agreements where applicable. If a signed consulting agreement conflicts with these Terms, the consulting agreement controls.

3. License to Use Software

Subject to these Terms, Champagne Engineering grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use our software solely for its intended purposes. Your access to and use of our other Services is governed by these Terms.

4. Intellectual Property

The Services, including their software, content, design, and associated intellectual property, are owned by or licensed to Champagne Engineering. You may not copy, modify, redistribute, sublicense, reverse engineer, or create derivative works based on the Services without prior written permission.

“Champagne Engineering” and “CE Widgets” are trade names, trademarks, or service marks of Champagne Engineering, LLC. Nothing in these Terms grants permission to use them without prior written permission.

5. User Responsibilities

You agree to use the Services lawfully and only for their intended purposes. You may not misuse, interfere with, or attempt to gain unauthorized access to the Services or related systems.

6. Third-Party Credentials and Services

Certain Services may interact with third-party platforms and services, including Google Play, GitHub, ARRL Logbook of The World (LoTW), QRZ.com, and other providers. Those services are governed by their own terms and privacy policies.

Some applications require credentials for third-party services. You are responsible for maintaining those credentials and for your use of the associated third-party accounts. Champagne Engineering does not control those third-party accounts or services.

7. Availability of Services

We strive to keep the Services available but do not guarantee uninterrupted availability. Features may change, and Services may be modified, suspended, or discontinued without notice.

8. Privacy

Our collection and use of information is governed by our Privacy Policy.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAMPAGNE ENGINEERING SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

11. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless Champagne Engineering from claims, damages, liabilities, losses, costs, and reasonable attorneys’ fees arising from your violation of these Terms, misuse or unlawful use of the Services, or infringement of a third party’s rights.

12. Suspension and Termination

We may suspend or terminate your access to the Services if we reasonably believe that you have violated these Terms or used the Services unlawfully. We may also discontinue any Service as described in Section 7.

13. Changes to the Services

We may update these Terms from time to time. The updated version will be indicated by an updated “Last Revised” date. Your continued use of the Services after an update takes effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-law principles.
